Introduction

 

Terrion is seeking a dynamic, business-minded General Counsel & Corporate Secretary to shape the legal and governance foundation of essential infrastructure in Canada's rapidly evolving connectivity landscape while advancing our mission to create meaningful connections for all our communities through technology and innovation. You'll provide strategic legal leadership across a $2.5 billion portfolio of over 3,000 wireless towers that connect millions of Canadians — serving as a trusted advisor and governance anchor at Canada’s largest independent telecommunications infrastructure leader, backed by TELUS and La Caisse de dépôt et placement du Québec. Because we thrive through partnership, you will foster collaboration relationships that generate tangible value and mutual growth, operating primarily out of our Montreal or Toronto office in a hybrid work model.

  2. Drive strategic decisions through collaborative partnership: Serve as a key legal and governance advisor to Terrion's executive leadership, TELUS leadership, and La Caisse

Anchor governance to build for a better world: Design and lead Terrion's corporate secretary function, ensuring robust board governance, regulatory compliance, and transparent reporting that meets the expectations of both TELUS and La Caisse as institutional partners committed to building a stronger, more connected world in a way that values all who we serve

What you'll do

Lead legal operations, corporate governance, and strategic counsel for Terrion's infrastructure portfolio — serving as both a trusted collaborative team partner and the steward of Terrion's corporate integrity. Here's how:

 

  • Strategic Legal Advisory & Transactions Provide thought leadership on complex commercial transactions, tower leasing, ground leases, right-of-way contracts, infrastructure partnerships, and M&A activity—executing with excellence while enabling mutual growth
  • Corporate Secretary & Board Governance Lead board and committee meetings, maintain corporate records, and ensure governance meets institutional standards and honors our commitment to the communities we serve
  • Business Partnership & Executive Counsel Be a trusted advisor to leadership on strategic initiatives, business development, and organizational transformation through collaborative partnership with stakeholders
  • Regulatory Compliance & Risk Management Oversee telecommunications regulations, CRTC requirements, corporate law, and privacy legislation while managing risk and protecting Terrion's long-term independence
  • Transformation & Legal Operations Leadership Build Terrion's in-house legal function, manage external counsel, and leverage technology and AI to solve operational challenges and advance with innovation

Qualifications

 

What you bring

 

  • LL.B. or J.D. with membership in good standing with the Quebec and Ontario bars, and 10+ years of progressive in-house or private practice experience, preferably spanning real estate, infrastructure, or telecommunications sectors
  • Bilingualism (English/French) — Essential Fluency in both English and French (written and verbal) is essential for collaborative partnership across Canada
  • Proven corporate secretary expertise, including board governance, minute-taking, corporate record maintenance, and advising directors on fiduciary duties and governance best practices with a commitment to executing with excellence
  • Startup and transformation mindset Proven ability to build functions from the ground up in ambiguous environments with excellence
  • Deep transactional expertise in complex commercial real-estate transactions, infrastructure agreements, tower leasing, ground leases, right-of-way contracts, zoning compliance, joint ventures, and strategic partnerships
  • Exceptional stakeholder management skills with experience advising, collaborating with, and influencing C-suite executives, boards of directors, and institutional investment partners across multiple organizations simultaneously
  • Strong regulatory acumen in Canadian telecommunications law, CRTC regulatory frameworks, corporate law, and privacy legislation — with the ability to navigate complex compliance requirements during organizational transitions
  • Clear, influential communication skills, including compelling written and oral advocacy, board-level presentation capabilities, and the ability to translate complex legal risk into actionable business guidance
  • Decisive, business-focused judgment Balance legal risk against commercial opportunity with practical, scalable solutions that drive mutual prosperity

Advanced knowledge of English is required because you will most of the time interact in English with external parties (clients, suppliers, candidates, external partners, etc.); interact in English with internal parties (colleagues, internal partners, stakeholders, etc.); and work with IT tools whose interface is only accessible in English as part of this position's main responsibilities given its national scope.

Salary Range:  $128,000-$238,000
Performance Bonus or Sales Incentive Plan:  30%

Actual total compensation will be determined based on factors such as knowledge, skills, performance and experience.
