Corporate Development provides thought leadership and project management support to the corporate planning process as well as critical strategic initiatives focused on growth and productivity improvement opportunities which impact multiple business units. We provide innovative ideas, proactive intelligence, thorough analysis and considered recommendations to the senior leadership team, supporting the implementation of value enhancing strategies.

 

We are also responsible for the evaluation and transaction gating process for all potential mergers and acquisitions as well as ensuring that the optimal shareholder value is achieved in post-merger integration activities.

 

The Mergers and Acquisition (M&A) team supports a wide range of strategic initiatives related to “inorganic growth” of particular business units or the corporation as a whole, by way of acquisition, divestiture, joint venture or other structures. Our team leads the review, analysis and approval process of corporate transactions, supports BU strategy efforts involving inorganic growth and provides ongoing thought partnership support to key executives.

As a Corporate Development Manager you will contribute to the identification of issues and development of work plans by assisting in specific research and analysis within the M&A team.

 

You will assist in the verbal and written communication of the findings to the senior management team thereby enabling them to make informed business decisions that enhance the organization’s capability to compete effectively in the marketplace and generate significant shareholder value.

 

What you’ll do:

 

  • Assist in the strategic development, assessment and due diligence functions of a transaction, and the preparation of presentations of findings and analysis to senior management
  • Research market opportunities and growth rates for select industries
  • Develop sophisticated financial projections, analysis and valuation of inorganic growth opportunities including acquisitions, divestitures, joint ventures and other structures
  • Work closely with Strategic Financial Analysis and Corporate Controller groups to develop budgets for business units related to the transaction
  • Assist in preparing Legal Agreement schedules based on due diligence findings
  • Lead small projects (typically in a range of ~$5M and under) with Director supervision; assist with deal negotiations
  • Lead parts and assist in distributing, tracking and collating due diligence reports prepared by transaction team members
  • Lead parts and assist in tracking and maintaining the database of due diligence materials received from a target company
  • Lead smaller ad-hoc reports preparation related to transactions for various levels of the organization

 

Qualifications

 

What you bring:

 

  • Strong financial acumen with an excellent understanding of basic financial concepts
  • Knowledge of and experience with financial statements (ratio analysis, performance return measures)
  • Basic understanding of financial valuation methodologies (Discounted Cash Flow, precedent transaction, comparable company analysis, LBO analysis)
  • Solid financial modelling skills including ability to develop driver based FCF models including NPV and ROI analysis
  • Excellent analytical and presentation skills with the ability to present strategic options in a clear concise manner for maximum impact
  • Ability to work under pressure and make modifications in a dynamic environment
  • Able to engage a diverse set of stakeholders and experts in sharing information to overcome obstacles and achieve objectives
  • Effective written and verbal communication skills, and displays developing presentation skills; is able to engage in open and trustworthy conversations regardless of level; displays developing skills in effective listening and questioning techniques
  • An ability to embrace continuous learning and proactively seeking opportunities for growth
  • High level of professionalism and enthusiasm. Stellar work ethic and results-oriented
  • Ability to manage own work streams as well as work within an extended team

 

Great-to-haves

 

  • Undergraduate degree in relevant field, such as Commerce, Business Administration or Engineering
  • 2-4 years of professional experience
  • Completion of, or working towards a financial industry designation, such as a CFA or CPA/CA
  • MBA considered an asset
